On February 7, TCL Zhonghuan (002129) disclosed in an announcement that its controlling subsidiary Maxeon’s wholly-owned subsidiary MSPL recently signed a Patent Licensing Agreementwith Aiko Solar. Under the agreement, MSPL will grant Aiko Solar a license to use its patents related to "back-contact" solar cells and modules (hereinafter referred to as "BC Patents"), permitting global use (excluding the United States). The license period is five years from the date of signing, with a total licensing fee of 1.65 billion yuan, payable in five installments over five years as agreed.
TCL Zhonghuan stated that the rapid growth in demand for high-efficiency BC products has become an industry consensus. This transaction will help the company collaborate with industry chain partners to jointly build a BC battery technology ecosystem, using differentiated product technologies and high-quality intellectual property to help the industry break away from involutionary competition and promote healthy and orderly development. Meanwhile, it also supports the company’s advancement of a moderate integration strategy, strengthening its market position and competitive advantages in the BC battery module segment. This patent licensing matter does not constitute a related-party transaction nor a major asset reorganization as defined in the Administrative Measures for Major Asset Reorganizations of Listed Companies. The licensing agreement shall take effect upon signature by both parties, and this matter does not require review by the company’s board of directors or shareholders’ meeting.
